1. Acceptance
By creating a Cosemble account, accessing cosemble.dev, or using any part of our service, you agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy. If you are entering into these Terms on behalf of a company or other entity, you represent that you have the authority to bind that entity.
If you do not agree, do not use the service.
2. The service
Cosemble provides a platform for building, deploying, and operating AI-powered conversational agents across messaging channels including WhatsApp and web chat. The platform includes workflow editing, inbox management, knowledge bases, observability, and related features (collectively, the "Service").
We may add, modify, or remove features over time. We will give reasonable notice of material changes that adversely affect existing paid customers.
3. Your account
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding your credentials and all activity under your account.
- You must notify us immediately of any unauthorized use of your account.
- You must be at least 16 years old to create an account.
- One person or entity may not maintain multiple free-tier accounts.
4. Acceptable use
You will not use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Send unsolicited commercial messages, spam, or bulk communications in violation of anti-spam laws (CAN-SPAM, CASL, GDPR e-Privacy, etc.).
- Harass, threaten, defraud, impersonate, or stalk any person.
- Distribute malware, viruses, or other harmful code.
- Attempt to gain unauthorized access to any system, data, or account.
- Interfere with, disrupt, or place undue load on the Service.
- Use the Service to build a competing product by replicating its source, design, or functionality.
- Use the Service for processing of personal data of children under 16 without verifiable parental consent.
- Use the Service to generate sexual content involving minors, non-consensual intimate imagery, terrorist content, or content prohibited by applicable law.
- Bypass usage limits, rate limits, or quotas through technical or non-technical means.
- Resell, sublicense, or commercially exploit the Service except as expressly permitted.
We may suspend or terminate accounts that violate these rules. For repeat or egregious violations, we may report you to relevant authorities or platform partners.
5. WhatsApp and channel terms
When you connect a WhatsApp Business account or other messaging channel to Cosemble, you must additionally comply with that channel's terms and policies, including:
- The WhatsApp Business Messaging Policy.
- The WhatsApp Commerce Policy if you sell products.
- Meta Platform Terms and developer policies.
- End-user opt-in requirements applicable in your jurisdiction.
You are responsible for obtaining valid consent from end users to receive messages via these channels. We may suspend a channel connection if we reasonably believe you are violating channel policies, since this puts the platform's standing with the channel at risk.
6. Your content
"Your Content" means all data, text, prompts, configurations, knowledge-base materials, and messages you (or your end users) provide to or generate through the Service.
- You retain all rights in Your Content.
- You grant Cosemble a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Your Content solely to provide the Service.
- You are responsible for the legality of Your Content, including ensuring you have rights to share it with us and with the third parties your workflows call (e.g. AI model providers).
- You will not upload material that infringes intellectual-property rights, violates privacy law, or breaches confidentiality.
We do not use Your Content to train AI models — ours or any third party's — unless you explicitly opt in via account settings.
7. AI-generated output
The Service may generate or relay outputs from third-party AI models ("AI Output"). You acknowledge:
- AI Output may be inaccurate, incomplete, biased, or otherwise unsuitable for a given purpose. You are responsible for reviewing AI Output before relying on it for decisions affecting individuals.
- Identical or similar AI Output may be generated for other users. Cosemble does not warrant uniqueness or originality of AI Output.
- You are responsible for compliance with applicable AI-disclosure rules (e.g. informing end users they are interacting with an AI agent, where required by law).
- Third-party AI provider terms also apply to AI Output (Anthropic, OpenAI, Google, etc.).
8. Fees and billing
- Free tier features are made available without charge but may be subject to limits we describe in-app.
- Paid plans are billed in advance on a recurring basis according to the plan you select.
- Fees are non-refundable except as required by law or as expressly stated in the plan terms.
- We may change pricing with 30 days' notice; changes do not apply retroactively to a current billing period.
- You are responsible for taxes (sales, VAT, GST, etc.) where applicable.
- Late payments may result in service suspension after reasonable notice.
9. Intellectual property
The Service, its underlying technology, design, and all materials provided by Cosemble are owned by Cosemble or its licensors and are protected by intellectual-property law. These Terms grant you no rights to our trademarks, logos, source code, or trade secrets, except the limited right to use the Service as permitted.
Feedback you provide may be used by us without restriction.
10. Service availability
We aim to keep the Service available, but we do not guarantee uninterrupted availability. We may perform maintenance with reasonable notice. For paid plans, any service-level commitment is stated separately in the applicable plan terms or a written agreement.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Service will be error-free, uninterrupted, secure, or that AI Output will meet your specific requirements.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COSEMBLE'S TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.
IN NO EVENT WILL COSEMBLE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow exclusion of certain warranties or damages — in those cases the limits apply to the maximum extent permitted by law.
13. Indemnification
You will defend, indemnify, and hold harmless Cosemble, its affiliates, and personnel from third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) Your Content; (b) your use of the Service in breach of these Terms; (c) your violation of law or third-party rights; or (d) your end users' interactions with agents you operate.
14. Termination
- You may terminate your account at any time from Settings.
- We may suspend or terminate your access if you breach these Terms, if required by law, or if continued provision becomes commercially unreasonable.
- Upon termination, your access to the Service ends. We will delete Your Content as described in the Privacy Policy.
- Sections that by their nature should survive termination (IP, liability, indemnification, governing law) survive.
15. Changes
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (in-app or by email) at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
16. Governing law
These Terms are governed by the laws of the jurisdiction in which Cosemble is established, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the courts of that jurisdiction, except where local consumer-protection law grants you the right to bring proceedings in your home jurisdiction.
